Two important examples are:

IRS Employer Identification Number — EIN

An Employer Identification Number is a federal taxpayer identification number assigned by the U.S. Internal Revenue Service.

The IRS explains that an EIN is a unique nine-digit tax ID and may be required or useful for such purposes as federal tax filings, hiring employees, opening business bank accounts, applying for licenses and obtaining business credit.

A documented blockchain-native example already exists.

The Internal Revenue Service assigned:

The IRS notice expressly states that the notice may be provided to anyone requesting proof of the EIN.

This demonstrates an important point:

 

Participation in BICRA's blockchain-native infrastructure does not inherently prevent an entity from receiving a U.S. federal tax identification number.

However, an EIN should not be confused with governmental incorporation or a determination of an entity's legal or tax classification.

Indeed, the WRBB IRS notice expressly states that the classification shown was based upon information supplied by the applicant or representative, is not a legal determination of tax classification, and is not binding upon the IRS.

That distinction matters.

Blockchain registration ≠ EIN.

They are separate layers serving different functions.

FINCEN MONEY SERVICES BUSINESS REGISTRATION

Certain businesses engaged in activities falling within the federal definition of a Money Services Business may be required to register with the U.S. Treasury Department's Financial Crimes Enforcement Network — FinCEN.

FinCEN's own guidance states that an MSB registers through the applicable registration process and specifically recognizes that an MSB may have different organizational structures, including a corporation, partnership, sole proprietorship “or other structure.”

Again, there is a documented example within BICRA's blockchain-native ecosystem.

Registration Type: Initial Registration, Corrected Report.

The registration identifies reported activities including money transmitter and dealer in foreign exchange, among other listed MSB activities.

The record also carries an All States/Territories flag.

What FinCEN MSB registration means — and what it does not mean

This distinction is essential.

FinCEN explicitly states that appearing in its MSB Registration database does not constitute a recommendation, certification of legitimacy or government endorsement, and that FinCEN does not verify the information submitted by the registrant.

FinCEN has gone further in warning against describing MSB registration as a “FinCEN license.” FinCEN says that it does not license MSBs to operate in the United States and that applicable state money-transmission licensing requirements can exist independently.

Therefore:

Blockchain LLC™ registration ≠ FinCEN MSB registration

and

FinCEN MSB registration ≠ a banking or money-transmitter license

These are separate legal and regulatory concepts.

Where applicable, EIN and FinCEN registration can instead form additional layers around the underlying blockchain-native business infrastructure.

THE NEW YORK CONVENTION

International arbitration has something blockchain technology alone cannot provide:

an established international treaty framework for the recognition and enforcement of qualifying arbitral awards.

The 1958 Convention on the Recognition and Enforcement of Foreign Arbitral Awards, commonly known as the New York Convention, establishes common standards concerning arbitration agreements and the recognition and enforcement of foreign and non-domestic arbitral awards.

The Convention currently has 172 State Parties.

This does not mean that a Blockchain LLC™ automatically becomes a government-created corporation in 172 countries.

Nor does it mean that an arbitration agreement eliminates otherwise applicable taxation, criminal law, sanctions, securities regulation, AML obligations, insolvency law or other mandatory governmental requirements.

Instead, the significance is much more precise:

 

Where parties have entered into a valid arbitration agreement and a qualifying arbitral award is rendered, the New York Convention provides an international framework through which recognition and enforcement may be sought in Contracting States, subject to the Convention and the applicable law and procedures of the jurisdiction where enforcement is requested.

UNCITRAL explains that the Convention's objective is to provide common standards for recognition of arbitration agreements and court recognition and enforcement of foreign and non-domestic arbitral awards.

Article III provides for recognition of covered awards as binding and enforcement according to the procedural rules of the territory where enforcement is sought, while Article V establishes circumstances under which recognition or enforcement may be refused.

That is the appropriate legal context for understanding the international arbitration layer of the Blockchain LLC™ architecture.

BLOCKCHAIN REGISTRATION AND LEGAL GOVERNANCE ARE DIFFERENT LAYERS

This distinction is fundamental.

Blockchain technology can provide:

  • timestamping

  • record integrity

  • transaction history

  • digital asset records

  • identity infrastructure

  • cryptographic verification

 

But blockchain technology by itself does not determine every legal question concerning an entity.

Conversely, traditional legal agreements provide:

  • contractual rights

  • governance rules

  • ownership arrangements

  • dispute-resolution mechanisms

  • arbitration agreements

WHAT ABOUT APOSTILLES?

Corporate documents may also be notarized and, where appropriate, authenticated using an Apostille issued under the 1961 Hague Apostille Convention.

But here again, terminology matters.

An Apostille authenticates the origin of a public document. According to the Hague Conference on Private International Law, its effect is to certify the authenticity of the signature, the capacity of the signer and the identity of the seal or stamp.

It does not authenticate the substantive contents of the underlying document.

Therefore:

not:

Apostille = governmental approval of Blockchain LLC™

Keeping these concepts separate makes the Blockchain LLC™ architecture easier—not harder—to understand.

BLOCKCHAIN LLC™ AND A TRADITIONAL COMPANY ARE NOT NECESSARILY EITHER/OR

One of the most important misconceptions about blockchain-native corporate infrastructure is that a business must necessarily choose between conventional corporate structures and blockchain infrastructure.
